Acceptance of These Terms
Thank you for considering the Projeo platform. These Terms of Service, together with our Privacy Policy, form the agreement between you and RYDZE LLC regarding your use of the website, the software, and the related services we offer under the Projeo name.
By accessing the Projeo website, creating an account, subscribing to a service, or using any part of the platform in any way, you agree to be bound by these terms. If you do not agree with any part of these terms, you should not use the service.
When we refer to the service, we mean the Projeo operations boards, scheduling tools, milestone systems, field check-in functions, budget tracking, reporting portals, and all supporting web pages and documentation made available by RYDZE LLC.
Eligibility
You may use the Projeo service only if you can form a binding contract under applicable law and only in compliance with these terms. The service is intended for persons who are at least the age of majority in their place of residence and who act on behalf of a business or organization.
If you are using the service on behalf of a company, partnership, or other organization, you represent that you have the authority to bind that organization to these terms. In that case the words you and your refer both to the individual user and to the organization.
We may decline to offer the service to any person or organization at our discretion and may refuse or limit registration where we believe doing so is necessary to protect the platform or its users.
The Company Providing Service
The service described in these terms is provided and operated by RYDZE LLC, a company established in the United States. Our principal office is located at 898 S State St Ste 310, Orem - 84097-7045, United States (US).
RYDZE LLC operates in the fields of computer systems design, computer integrated systems design, and related professional, scientific, and technical consulting services. Projeo is the trade platform and developer name under which we deliver these products.
Our day to day operations, including technical support, sales queries, and customer communications, are managed from this State Street address. You may reach us by email at dispatch@projeo.lat or by telephone at +15804988669.
The Service We Provide
Projeo provides a connected set of instruments for running projects and event logistics. At the center sits the shared operations board, which gives field crews, managers, vendors, and clients a common view of what is happening and what comes next.
The service includes project tracking boards with columns and tasks, crew and vendor scheduling, milestone and deadline systems, field check-in tools for mobile logging, budget and invoice tracking, and client reporting portals.
These instruments are designed to work together so that progress recorded in the field shows up on the schedule, the budget, and the client view without duplication. The precise set of features available to you depends on the plan your organization selects.
We reserve the right to add, change, or withdraw individual features over time as described in the section on changes to the service. Our goal is to keep the platform useful without disrupting the operations that depend on it.
Accounts and Registration
To use many parts of the platform you will create an account. You agree to provide accurate and complete information during registration and to keep that information current. Never register under a false identity or on behalf of someone for whom you lack authority.
You are responsible for safeguarding the credentials that give access to your account and for all activity undertaken through your account. If you believe your credentials have been compromised, notify dispatch at dispatch@projeo.lat promptly so we can help secure the account.
Account administrators within your organization control roles, permissions, and the levels of access granted to each crew member, vendor, and client who joins your boards. We rely on those administrators to assign access carefully.
Rights We Grant You
Subject to your compliance with these terms, RYDZE LLC grants you a limited, non exclusive, non transferable, and revocable right to access and use the service for your internal business purposes. For customers who subscribe, this right lasts for the term of your subscription.
You agree that you will not, and will not allow others to, sublicense, resell, or provide the service to third parties as a hosted or outsourced offering unless we agree otherwise in writing. Your right of use covers your own operations and those of the clients you legitimately support.
We may update, replace, or add software components to the service from time to time. Updates that we apply automatically are delivered to keep all users secure and on a consistent version, so that boards and reports behave predictably.
Acceptable Use
You agree to use the Projeo service lawfully and respectfully. You will not use the platform to transmit unlawful material, to harass or injure others, to distribute malicious software, or to interfere with the operation of the service.
You will not attempt to gain unauthorized access to any portion of the service, to other user accounts, or to any system connected to the platform. You will not probe, scan, or test the vulnerability of the service beyond normal browsing behavior.
You will not copy, distribute, or create derivative works from our software, documentation, or design elements except as expressly permitted. You will not attempt to reverse engineer the platform, remove any legal notices, or misrepresent your affiliation with RYDZE LLC.
Your Content and Data
You retain ownership of the data and content that you place on your Projeo boards, including schedules, task descriptions, crew records, field reports, photos, budget lines, and client notes. We do not claim ownership of your operational data.
By entering data into the service you grant us a limited license to host, store, transmit, and process that data so that we can deliver the service to you. This license exists solely to operate the platform and does not give us the right to use your data for our own unrelated purposes.
You are responsible for the accuracy of the data you provide and for having the right to include any personal information about other individuals that you place on a board. Where your boards hold data about crew members or clients, you must comply with any privacy obligations that apply to you.
We protect the confidentiality of your data according to our Privacy Policy, and we will not use your operational content for advertising or for any purpose other than operating and improving the service.
Feedback and Ideas
We value ideas from the people who use Projeo every day. If you send us suggestions, feature requests, or observations about the product, you agree that we may use that feedback freely to improve the service without any payment or obligation to you.
Feedback is provided on a voluntary basis and does not create a confidential relationship. To the extent a suggestion combines your own creative material with our platform, any improvements we build based on the suggestion become part of our service.
Nothing in these terms restricts our ability to develop features independently, and we encourage you to share honest assessments so that the product keeps getting better for everyone who relies on it.
Fees and Payment
Some parts of the Projeo service are offered free, and others require a paid subscription. Any fees are described in the specific plan materials or in the agreement you sign with RYDZE LLC, and they are payable in the currency stated there.
Unless stated otherwise, subscription fees are payable in advance for the agreed period. Late payments may pause certain features, and our acceptance of a payment method does not waive your obligation to pay amounts that remain outstanding.
We may change subscription pricing by giving you reasonable notice. Price changes will not apply to your current paid period without your consent, so that you have time to decide whether to continue on the new terms.
Changes to the Service
Software evolves, and we expect the Projeo platform to change over time. We may add features, adjust the design, and retire capabilities that are no longer useful, always with the aim of preserving the stability of your operations.
Where a change would remove a feature you rely on or alter a significant behavior, we will make reasonable efforts to give you notice and to provide a comparable alternative. We will not make changes that silently break the records stored on your boards.
From time to time we may also update these terms. When we do, the revised version appears on this page with a new effective date, and continued use of the service after the change means you accept the new terms.
Maintenance and Availability
We work to keep the Projeo platform available and reliable around the field working hours of our customers. From time to time we perform maintenance to improve performance, apply security patches, or add features.
Where practical we schedule maintenance for low activity windows and give notice in advance. Some routine work occurs without notice when it does not interrupt service. We do not guarantee uninterrupted availability, and the service is provided on an as available basis subject to the disclaimers below.
In the event of an outage you retain access to the records held for you at the time of the disruption, and we restore service as quickly as we reasonably can.
Disclaimer of Warranties
To the maximum extent permitted by law, the Projeo service and all content and software associated with it are provided on an as is and as available basis. RYDZE LLC makes no warranties that the service will meet your requirements or that it will be uninterrupted, timely, secure, or free of error.
We disclaim all implied warranties, including warranties of merchantability, fitness for a particular purpose, and non infringement, to the full extent permitted by applicable law. Any content you access through the service does so at your own risk.
Nothing in these terms limits warranties that cannot be excluded under the law of your jurisdiction. Where a mandatory consumer protection law applies and cannot be waived, that law governs to the extent it conflicts with this section.
Limitation of Liability
To the maximum extent permitted by law, RYDZE LLC, its officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenues, data, or goodwill arising from your use of the service.
Our total aggregate liability arising out of or related to these terms, whether in contract, tort, or otherwise, will not exceed the amount you paid to us for the service in the twelve months preceding the event that gave rise to the claim, or one hundred dollars if you paid nothing in that period.
Because you are relying on the platform to run operations, we encourage sensible backups of the data that matters most to you. This limitation applies even if we have been advised of the possibility of such damages and even where a remedy fails its essential purpose.
Indemnification
You agree to indemnify and hold harmless RYDZE LLC and its officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or related to your use of the service.
This obligation covers claims that arise from content you submit, from your violation of these terms, from your infringement of the rights of a third party, or from any unlawful activity carried out through your account.
Where a claim covered by this section is brought, we may elect to control the defense at our own cost if we wish, and you agree to cooperate with us in that defense. We may also notify you if a claim arises, so that you can manage your own exposure.
Termination of Use
You may stop using the Projeo service at any time and may close your account by contacting dispatch at dispatch@projeo.lat or following the close process offered within the platform.
We may suspend or terminate your access to the service if you breach these terms, if we believe your use threatens the security or stability of the platform, or if we are required to do so by law. Where we act for a reason within your control, we will give you a reasonable opportunity to fix the issue before permanent termination where feasible.
When your account closes, you may export the records you hold through our provided export feature before the account is removed. We will honor our data retention and deletion commitments for records that remain after closure.
Third Party Content
The Projeo service may include or link to content, applications, and websites owned by third parties. This content is provided for your convenience, and we do not endorse or assume responsibility for it.
Any dealings you have with a third party found through the service, including payment, delivery, and the terms applied, happen between you and that party alone. Your use of third party tools integrated with the service may be subject to that party own terms and privacy policy.
We make reasonable efforts to keep our links accurate and current, but we cannot control external content, and we encourage you to judge the reliability of any third party resource you use.
Export and Compliance
You agree to comply with all applicable export control and trade sanctions laws and regulations when using the Projeo service. You will not access or use the service in a manner prohibited by any such law.
You represent that you are not located in a country that is subject to a comprehensive United States government embargo and that you are not listed on any sanctioned parties register that would prohibit you from receiving the service.
If you believe your intended use may raise an export or compliance question, contact dispatch before proceeding so that we can advise you on whether the use is permitted.
Governing Law
These terms are governed by the laws of the State of Utah in the United States, without regard to its conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these terms.
The venue for any dispute arising from these terms is the state and federal courts located in the area in which RYDZE LLC maintains its principal office in Orem, Utah, subject to the dispute resolution process described below.
Nothing in this governing law clause restricts a consumer from bringing a claim in a venue that applicable mandatory law protects.
Dispute Resolution
Before any formal action, we encourage you to raise a concern directly with dispatch at dispatch@projeo.lat or by telephone at +15804988669. Many disagreements are resolved with a straightforward conversation, and we commit to responding promptly and fairly.
For any dispute that cannot be resolved informally, you agree first to attempt good faith negotiation for a reasonable period before starting legal proceedings. If negotiation does not resolve the matter, the dispute will be resolved in the courts described in the governing law section.
You agree that any claim you bring related to the service must be filed within the time allowed by law and that you will not bring claims on behalf of a class or as a class action unless applicable law prohibits us from requiring this.
Severability
If any provision of these terms is held to be invalid, illegal, or unenforceable, that provision will be enforced to the maximum extent permitted, and the remaining provisions will continue in full force and effect.
The invalidity of a single term will not undermine the validity of the rest of the agreement. Where a term is partially enforceable, it will be read and enforced in its most permissible valid form.
If a term that limits liability or disclaims a warranty is held invalid under mandatory law, the balance of these terms remains binding to the extent legally permissible.
Entire Agreement
These terms, together with the Privacy Policy and any pricing or plan agreement you sign with RYDZE LLC, constitute the entire agreement between you and RYDZE LLC regarding the Projeo service. They supersede any prior agreements about the same subject matter.
You acknowledge that you have not relied on any statement, representation, or promise outside these terms when deciding to use the service. Header text is included for convenience only and does not change the meaning of the sections.
We may assign these terms or any part of our rights and obligations to a successor, and we will give you notice of such an assignment where we reasonably can. You may not assign these terms without our prior written consent.
